Guidelines for Partners

Introduction

About these Guidelines Beneat s. r. o. (hereinafter “Beneat”) is committed to conducting business in compliance with all applicable laws and regulations, maintaining high ethical standards, and respecting the fundamental rights of all stakeholders. Beneat expects its partners, including service providers, vendors, and other collaborators (collectively referred to as “Partners” or “You”), to uphold similar principles. These Guidelines establish the minimum standards required of all Beneat Partners and form an integral part of any agreements or cooperation with Beneat. Failure to comply with these Guidelines may result in the immediate termination of the business relationship without further justification.

Legal Compliance and Business Ethics

Partners are expected to conduct their business ethically and in compliance with all applicable laws and regulations, including but not limited to:

  • Anti-Corruption: Partners must refrain from any acts of bribery, corruption, or acceptance of kickbacks. Offering gifts or hospitality intended to influence business decisions is prohibited under all circumstances.
  • Money Laundering: Partners must not engage in or support money laundering activities or any operations that contribute to the financing of terrorism or organized crime.
  • Sanctions Compliance: Partners must not be directly or indirectly owned, controlled by, or affiliated with entities subject to international sanctions. Beneat reserves the right to verify ownership structures to ensure compliance.
  • Conflict of Interest: Partners must avoid any transactions or relationships with Beneat employees that could create actual or perceived conflicts of interest.
  • Fair Competition: Partners must observe all relevant antitrust and competition laws, avoiding collusion, price-fixing, or other anti-competitive practices.
  • Licenses and Permits: Partners are required to maintain all licenses, permits, and certifications necessary for their operations and ensure they comply with agreed-upon safety and quality standards.
  • Accurate Records: Partners must maintain honest and transparent records of all transactions and ensure compliance with applicable tax laws and reporting requirements.
  • Confidentiality and Data Protection: Partners are obligated to protect all confidential information and ensure the security of personal data and intellectual property.

Social and Environmental Standards

Respect for people and environmental protection are core values at Beneat. Partners are expected to commit to the following:

  • Human Rights: Uphold and respect the rights of all individuals and adhere to recognized labor standards, including the prohibition of forced and child labor.
  • Workplace Respect: Ensure a safe and healthy working environment free from discrimination, harassment, or any form of abuse.
  • Equality and Diversity: Provide equal treatment to all employees and stakeholders regardless of race, color, religion, gender, age, disability, or other legally protected characteristics.
  • Environmental Compliance: Partners must observe all environmental laws and actively work to reduce waste, conserve resources, and minimize environmental harm through sustainable practices.

Reporting Misconduct

  • Partners must report any suspected or actual breaches of these Guidelines promptly through Beneat’s designated reporting channels.
  • All reports will be handled with confidentiality and without fear of retaliation against those who report in good faith.

Monitoring and Enforcement

  • Beneat reserves the right to audit Partner operations to ensure adherence to these Guidelines.
  • In cases of non-compliance, corrective measures, including immediate suspension or termination of the partnership, may be enforced.
  • Regular updates and training on these Guidelines will be provided to ensure continuous alignment with Beneat’s values and requirements.

Reporting Misconduct and Document Updates

Any actual or suspected non-compliance with these Guidelines must be reported without delay to Beneat’s confidential reporting line or directly to our compliance team at compliance@beneat.com. Reporting in good faith will not adversely affect your relationship with Beneat.

Document Ownership and Amendments

This document is owned and maintained by Beneat reserves the right to amend these Guidelines periodically to ensure compliance with evolving legal and business standards. The most current version of these Guidelines will always be available on the Beneat website.
